1. Acceptance of Terms
Welcome to Streetly. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Streetly Ltd (Company Number: NI732640), a company registered in Northern Ireland ("Streetly," "we," "us," or "our").
By accessing or using the Streetly website (streetly.app), mobile application ("App"), or any related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.
2. About Streetly
Streetly is a retail intelligence and loyalty platform that connects independent retailers and local shoppers through a universal digital reward system called "Streetly Points."
Our Services Include:
- A mobile app for shoppers to earn and redeem Streetly Points
- A dashboard for retailers to manage offers, track analytics, and receive payouts
- A points-based loyalty system that works across participating retailers
- Marketing tools and analytics for retailers
3. Eligibility
You must meet the following requirements to use Streetly:
- Age: You must be at least 18 years old
- Location: Our services are currently available in Ballymena, Magherafelt, and Coleraine, Northern Ireland
- Capacity: You must have the legal capacity to enter into binding contracts
- Compliance: You must not be prohibited by law from using our Services
For retailers: You must be a legitimate business with the right to operate and accept the terms of our Retailer Agreement.
4. User Accounts
4.1 Account Creation
To use Streetly, you must create an account by providing:
- Accurate and complete information
- A valid email address
- A secure password (or use social login via Google, Apple, or Facebook)
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We are not liable for any loss or damage arising from your failure to protect your account.
4.3 Account Information
You must keep your account information current and accurate. You can update your details at any time through the App or by contacting us.
4.4 One Account Per Person
Each person or business may maintain only one active account. Multiple accounts may be suspended or terminated without notice.
5. Streetly Points System
5.1 What Are Streetly Points?
Streetly Points are a digital loyalty currency that can be earned by shoppers when making purchases at participating retailers and redeemed for discounts at any participating retailer.
Conversion Rate: 100 Streetly Points = £1 in redemption value
5.2 Earning Points
Shoppers earn points by:
- Scanning a retailer's QR code after making a purchase
- Participating in special promotions or campaigns
- Receiving bonus points for specific actions (e.g., first purchase, referrals)
Points are credited to your account immediately upon successful scan verification. The number of points earned may vary based on retailer-set multipliers (e.g., 2x points days).
5.3 Redeeming Points
Shoppers can redeem points by:
- Selecting "Use Points" in the app
- Generating a one-time QR code
- Showing the QR code to a participating retailer at checkout
Minimum Redemption: 100 points (£1)
Points can be redeemed at any participating retailer, regardless of where they were earned.
5.4 Points Have No Cash Value
Streetly Points are not currency and have no cash value. They:
- Cannot be exchanged for cash
- Cannot be transferred between accounts
- Cannot be sold or bartered
- Are not property and confer no property rights
5.5 Points Expiration
Streetly Points do not expire as long as your account remains active. However:
- If your account is inactive for 3 consecutive years, we may delete it and forfeit unused points after email notification
- If you voluntarily close your account, all unused points are forfeited
- If your account is terminated for violation of these Terms, all points are forfeited
5.6 Points Fraud
We reserve the right to:
- Investigate suspicious point transactions
- Freeze accounts pending investigation
- Deduct fraudulently earned points
- Terminate accounts involved in fraud or abuse
6. Terms for Shoppers
6.1 Using the App
As a shopper, you agree to:
- Use the app only for legitimate personal purchases
- Scan QR codes only for your own transactions
- Not attempt to game the system or earn points fraudulently
- Not share your account with others
- Respect retailers' individual policies and terms
6.2 Third-Party Retailers
Streetly is a platform connecting you with independent retailers. We are not responsible for:
- The quality, safety, or legality of products or services sold by retailers
- Retailer business practices, pricing, or policies
- Disputes between you and a retailer
- Refunds or returns (handled directly with retailers)
Your transaction with a retailer is between you and that retailer. Streetly facilitates the loyalty program only.
6.3 Location Services
The app may request access to your device location to show nearby offers. You can enable or disable this at any time in your device settings.
6.4 Push Notifications
You may receive push notifications about:
- Points earned or redeemed
- Special offers from retailers you follow
- Platform updates
You can disable notifications in your device settings or app preferences.
7. Terms for Retailers
7.1 Retailer Registration
To become a Streetly partner retailer, you must:
- Operate a legitimate business in Ballymena, Magherafelt, or Coleraine
- Complete the registration process and provide accurate business information
- Agree to our Retailer Partnership Agreement (provided during onboarding)
- Comply with all applicable laws and regulations
7.2 Offers and Promotions
As a retailer, you may:
- Create up to three active offers at a time
- Set points multipliers (e.g., 2x points, 3x points)
- Manage offer expiry dates
- Send messages to shoppers who follow your business
You are responsible for honoring all offers and promotions you create. Misleading or fraudulent offers may result in account suspension.
7.3 Points Redemption & Payouts
How It Works:
- When a shopper redeems points at your business, you provide the discount immediately
- Streetly reimburses you weekly via Stripe Connect or Revolut Business
- Payouts typically occur every Monday for the previous week's redemptions
During Pilot Phase (2025-2026):
- Streetly funds 100% of shopper rewards
- No cost to retailers for points issued or redeemed
Post-Pilot (Future):
- Retailers may be charged a small fee per redemption (estimated 10-15p per £1 redeemed)
- We will notify all retailers 90 days before any fee structure is implemented
- Retailers may opt out if they disagree with future fees
7.4 Retailer Dashboard
You will have access to a dashboard to:
- View analytics (visits, points issued, unique shoppers, repeat visits)
- Manage offers and promotions
- Scan QR codes for shopper redemptions
- Track payout history
- Message your followers
7.5 Data Insights
Streetly provides you with anonymized, aggregated insights about customer behavior at your business. You do not receive:
- Full names or contact details of shoppers (unless they share directly)
- Information about their transactions at other businesses
7.6 Retailer Responsibilities
You agree to:
- Maintain a valid QR code for shoppers to scan
- Honor all points redemptions presented by shoppers
- Provide accurate business information and banking details
- Comply with all consumer protection and data privacy laws
- Not discriminate against shoppers based on protected characteristics
8. Prohibited Conduct
You agree not to:
8.1 Fraud and Abuse
- Earn or redeem points through fraudulent transactions
- Scan QR codes without making legitimate purchases
- Create multiple accounts to abuse promotions
- Manipulate the points system for personal gain
8.2 Technical Abuse
- Reverse engineer, decompile, or disassemble the app
- Use bots, scripts, or automated tools to interact with Streetly
- Attempt to bypass security measures
- Introduce viruses, malware, or harmful code
8.3 Prohibited Content
- Post illegal, offensive, or harmful content
- Harass, threaten, or abuse other users
- Impersonate others or misrepresent your identity
- Violate intellectual property rights
8.4 Commercial Misuse
- Use Streetly for unauthorized commercial purposes
- Resell access to Streetly services
- Spam users with unsolicited messages
Violation of these terms may result in account suspension, termination, and/or legal action.
9. Intellectual Property
9.1 Ownership
All content, features, and functionality of Streetly (including but not limited to text, graphics, logos, icons, images, software, and design) are owned by Streetly Ltd and protected by copyright, trademark, and other intellectual property laws.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use the Streetly app and website for personal use
- Use retailer tools if you are a registered partner
This license does not permit you to:
- Copy, modify, or distribute our content
- Use our trademarks or branding without permission
- Create derivative works
9.3 Trademarks
"Streetly," the Streetly logo, and all related marks are trademarks of Streetly Ltd. Unauthorized use is prohibited.
10. Disclaimers and Limitations of Liability
10.1 Service "As Is"
Streetly is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free service
10.2 Limitation of Liability
To the fullest extent permitted by law, Streetly Ltd shall not be liable for any:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or use
- Damages arising from your use or inability to use our Services
- Damages arising from third-party conduct or content
Our total liability for any claim shall not exceed the greater of (a) £100 or (b) the amount you paid us in the 12 months preceding the claim.
10.3 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, network failures, or other force majeure events.
11. Indemnification
You agree to indemnify, defend, and hold harmless Streetly Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
- Your use of Streetly
- Your violation of these Terms
- Your violation of any law or third-party rights
- Content you post or transmit through Streetly
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Using the "Delete Account" option in the app settings
- Emailing us at info@streetly.app
Upon termination:
- Your account will be permanently deleted
- All unused Streetly Points will be forfeited
- Transaction history will be retained for legal/tax purposes (7 years)
12.2 Termination by Streetly
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activity
- Pose a security risk
- Harm other users or Streetly's reputation
We will provide notice when reasonably possible, but we reserve the right to terminate immediately for serious violations.
12.3 Effect of Termination
Upon termination:
- Your license to use Streetly ends immediately
- All provisions of these Terms that should reasonably survive (e.g., disclaimers, indemnification) remain in effect
13. Changes to Terms
We may update these Terms from time to time. When we make significant changes:
- We will update the "Last Updated" date
- We will notify you via email and/or in-app notification
- For material changes, we will require you to accept the new Terms
Your continued use of Streetly after changes constitutes acceptance of the updated Terms. If you disagree with changes, you must stop using Streetly and delete your account.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Northern Ireland and the United Kingdom, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes arising from these Terms or your use of Streetly shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
14.3 Informal Resolution
Before initiating legal action, you agree to first contact us at legal@streetly.app to attempt informal resolution.
14.4 Class Action Waiver
You agree to resolve disputes with Streetly on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.
